This Font License Agreement ("Agreement") is between Vista Team Inc. ("Leshem" or "Licensor") and the person or entity that purchases or downloads a license ("Licensee" or "you"). By downloading, installing, or using the Font Software, you agree to this Agreement. If you do not agree, do not download or use it.
1. Definitions
- "Font Software" means the font files (including OTF, TTF, WOFF, and WOFF2 formats), together with any updates, documentation, and accompanying materials, that you receive from Leshem.
- "Designer" means the author of a typeface. Many Fonts are designed by independent Designers. The Designer is credited as author, but Leshem is the licensor and distributor and grants this license on its own behalf and on behalf of the Designer, who is an intended third-party beneficiary of this Agreement.
- "Licensee" means the single legal entity or individual named on the order. Your employees and contractors may use the Font Software only within your license limits and only on your behalf.
- "Order" means your purchase confirmation, which identifies the Fonts, license tier(s), and limits you purchased.
2. License Grant
Subject to full payment and your compliance with this Agreement, Leshem grants you a non-exclusive, non-transferable, non-sublicensable, perpetual (unless terminated) license to use the Font Software, worldwide, only under the tier(s) and limits shown on your Order. A purchase of one tier does not include any other tier.
3. License Tiers

Logo use. Every Desktop license includes the right to use the font in logos, wordmarks and registered trademarks of the Licensee (or of one client per license, where the work is made for that client), at no extra cost. The font itself remains licensed, not sold, and the logo may not be used to create or distribute a font.
Additional rules by tier:
- Desktop: Static images and PDFs you create may be distributed freely, as long as the font cannot be extracted from them. PDFs must embed only a subset of the font, set to print/preview-and-print only.
- Web: Font files must be served only from your own domains. You must take reasonable measures to prevent hotlinking and downloading (for example, CORS restrictions). You may not use the font through any font-hosting service other than your own server. Use in a SaaS product or other website builder that lets end users pick the font requires a custom license.
- App / E-book: The font must be embedded in a way that is encrypted, obfuscated, or otherwise not reasonably accessible to end users. You may not let end users of the app create their own content in the font for commercial use (for example, through a template or editor) without a custom license.
If your use exceeds your limits, you must purchase an upgrade before the overage occurs, or within 30 days after you become aware of it. For uses not listed above, contact hello@leshemtype.com.
4. Restrictions
Except as expressly permitted, you may not:
- Redistribute the Font Software. This means you may not copy, share, sell, rent, lend, sublicense, upload to public or shared repositories, or otherwise make it available to anyone outside the Licensee, including clients, unless they hold their own license.
- Modify or create derivatives. You may not edit, alter, adapt, translate, add or remove glyphs, or create derivative fonts from the Font Software or its outlines. However, you may modify the shapes of letters in a specific static artwork, such as a logo, as part of logo use permitted under Section 3. You may never create a font from such artwork.
- Convert formats. You may not convert the Font Software into another format (for example, TTF to WOFF, or into SVG or bitmap fonts), except for automatic subsetting performed by standard software as allowed by your tier.
- Embed in an extractable way. You may not embed the font in documents, apps, or products in a way that allows end users to extract, install, or reuse it.
- Use for AI/ML. You may not use the Font Software, its outlines, glyph images, or rendered text samples to train, fine-tune, validate, benchmark, or prompt any artificial intelligence or machine-learning model or dataset. You also may not use them to generate, clone, or imitate typefaces or glyphs by automated means. This prohibition applies to every tier and cannot be overridden except by a separate written agreement signed by Leshem.
- Reverse engineer. You may not decompile, disassemble, or reverse engineer the Font Software, except to the extent applicable law expressly permits.
- Remove notices. You may not remove or alter copyright, trademark, licensing, or embedded metadata.
- Use font names as marks. You may not use the font name as a trademark or as a name for your own product.
- Share outside the Licensee. You may not share the Font Software with affiliates, parent companies, subsidiaries, freelancers, or printers who do not hold their own license. You may give a commercial printer or service bureau a temporary copy for the sole purpose of producing your job, as long as they delete it afterward.
5. Ownership
This license is non-exclusive: Leshem may license the same Font Software to others on any terms.
The Font Software is licensed, not sold. All right, title, and interest in the Font Software, including copyrights in the font software and any trademarks in the font names, remain with Leshem and/or the Designer, as applicable. All rights not expressly granted are reserved.
6. Transfer
You may not assign or transfer this license, except to a successor in a merger or acquisition of substantially all of your business, and only after prior written notice to Leshem. In that case, the successor agrees to this Agreement in writing and you keep no copies.
7. Updates and Support
Leshem may, but is not obligated to, provide updates. Updates are governed by this Agreement. Technical support is provided at Leshem's discretion.
8. Audit
Upon at least 15 business days' written notice, and no more than once every 12 months (unless a prior audit revealed non-compliance), Leshem or its designated independent auditor may verify your compliance with this Agreement. You will provide reasonable records (for example, the number of installations, pageview metrics, apps, or titles) and access. If an audit reveals under-licensing, you will promptly buy the required licenses at Leshem's then-current list prices. If the under-licensing exceeds 5%, you will also reimburse the reasonable costs of the audit.
9. Termination
This license terminates automatically, without notice, if you breach any term of this Agreement or if your payment is reversed or charged back. Leshem may also terminate it on written notice if you fail to cure a curable breach within 15 days after notice. On termination, you must stop using the Font Software, delete all copies, and, on request, confirm the deletion in writing. However, static artwork you lawfully created before termination may continue to be used, unless the termination was caused by a breach of Section 4. Sections 4, 5, 8 through 13 survive termination.
10. Limited Warranty and Disclaimer
For 30 days after delivery, Leshem warrants that the Font Software will substantially function as a font in current major operating systems and browsers. Your exclusive remedy for breach of this warranty is, at Leshem's option, a replacement file or a refund of the license fee for the affected Font. EXCEPT FOR THIS LIMITED WARRANTY, THE FONT SOFTWARE IS PROVIDED "AS IS," WITHOUT WARRANTIES OF ANY KIND, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER LESHEM NOR ANY DESIGNER WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS OR THE COST OF REPRINTING OR REDOING WORK. LESHEM'S TOTAL LIABILITY WILL NOT EXCEED THE LICENSE FEE YOU PAID FOR THE FONT SOFTWARE AT ISSUE.
12. Remedies
Unauthorized use or distribution of the Font Software would cause irreparable harm. Leshem and the Designer may therefore seek injunctive relief in addition to any other remedies, without posting a bond where permitted. Unlicensed use is subject to fees at no less than Leshem's list price for the appropriate license, in addition to any other remedies available under law.
13. General
This Agreement is governed by the laws of the State of New York, and disputes are resolved under the dispute-resolution section of the Terms of Use, which is incorporated by reference. If any provision of this Agreement is unenforceable, the remainder stays in effect. If this Agreement conflicts with the Terms of Use concerning use of the Font Software, this Agreement controls. Any custom license signed by Leshem controls over this Agreement. The English version controls over any translation.
